Entity architecture

R3i maintains offices in Delaware, Luxembourg (c/o the Luxembourg House of Financial Technology) and Singapore. Registered office addresses are listed on the Firm page. Entity roles and registrations are mapped by jurisdiction and made available to qualified counterparties under confidentiality as part of diligence.

Securities activity

R3i Inc and its affiliates are not themselves registered U.S. broker-dealers. Where securities-related activity involves U.S. persons, it is conducted through a chaperoning arrangement with Finalis Securities LLC, a registered broker-dealer and member FINRA/SIPC.

The R3i entities originate, structure and introduce. Regulated execution is performed by the registered provider. Entity roles and registrations are mapped by jurisdiction and made available to qualified counterparties under confidentiality as part of diligence.

R3i does not solicit, offer or sell securities via the internet. Any offering is made only to qualified investors through confidential offering documentation. US interests, where offered, are offered in reliance on the Regulation D private-placement exemption to accredited investors only.

Principal versus intermediary activity

R3i may participate in a transaction as principal, originator, adviser or through an affiliated investment vehicle. The applicable role and any related-party interest are disclosed before execution.

Fee arrangements are disclosed in priority order rather than layered silently. Investment Committee members recuse themselves from any decision in which they hold a personal or related-party interest. Related-party investments between R3i-managed vehicles and ventures originated within the platform are disclosed to investors and are subject to independent valuation review.

R3i does not accept client transaction capital into its operating-company accounts

Transaction and subscription capital moves through the relevant vehicle, escrow, administrator or regulated execution provider identified in the transaction documentation, and never through an R3i operating account.

Anti-money-laundering and know-your-counterparty

A risk-based AML/KYC policy applies across all R3i entities and is a precondition of access to the DealDesk and of any commitment to an R3i vehicle. Source of funds, beneficial ownership, sanctions and politically-exposed-person screening are undertaken before a counterparty is admitted to a transaction.

Anti-bribery & anti-corruption

R3i has zero tolerance for bribery and corruption in any form. No director, officer, employee, agent or intermediary acting on R3i's behalf may offer, give, solicit or accept a bribe, kickback or facilitation payment, whether directly or through a third party, to obtain or retain business or any improper advantage.

This policy applies across all jurisdictions in which R3i operates and is consistent with the U.S. Foreign Corrupt Practices Act, the UK Bribery Act 2010, and applicable local anti-corruption law. Gifts and hospitality are permitted only where modest, transparent and properly recorded. Concerns may be reported confidentially — get in touch.

Personal data

Controller. R3i Inc (Delaware, United States) is the controller of personal data submitted through this website. Correspondence runs on the r3iventures.com domain.

What we collect, and why. Enquiry forms collect the information you choose to provide — name, email address, organisation, role and the context of your enquiry — for the purpose of assessing and responding to mandates and institutional enquiries, and for compliance obligations including KYC, AML and sanctions screening where a relationship proceeds. The legal basis is our legitimate interest in assessing enquiries directed to us; steps taken at your request prior to entering an engagement; and legal obligation, for compliance processing.

Sharing. Personal data is shared only with R3i's affiliated entities and with professional and regulated service providers — legal, compliance, execution and administration — where required for the purposes above, under confidentiality. Personal data is not sold and is not used for advertising.

Retention. Enquiry data is retained for as long as needed to assess and respond, and thereafter only where a regulatory, compliance or record-keeping obligation requires it.

Analytics. This website uses privacy-preserving, aggregate analytics without advertising cookies or cross-site tracking.

Your rights. Depending on your jurisdiction, you may have rights of access, rectification, erasure, restriction, portability and objection, and the right to complain to a supervisory authority.
